Acceptance of Terms & Contractual Capacity
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Sevorse ("Sevorse", "Company", "we", "us", or "our"), governing your access to and use of the Butler AI platform, website, software, APIs, modular capabilities (including the Business Module), context engines, and execution pipelines (collectively, the "Service").
By accessing, registering for, requesting early access to, or utilizing Butler in any manner, you expressly acknowledge that you have read, understood, and agreed to be bound by all provisions of these Terms and our Privacy Policy.
Authority: If you are entering into these Terms on behalf of a company, business entity, or organization, you represent and warrant that you possess full legal authority to bind that entity to these Terms. If you lack such authority, you must not accept these Terms or use the Service.
Nature of AI Agent & Autonomous Execution
Butler is a modular artificial intelligence execution agent engineered to plan, coordinate, and carry out business workflows (e.g., market research, content planning, automated scheduling, social distribution, and messaging analytics).
You explicitly understand and accept the following fundamental technical characteristics of the Service:
- Probabilistic Technology: Butler utilizes generative artificial intelligence, large language models (LLMs), machine learning algorithms, and third-party APIs. Outputs generated or actions planned by Butler are probabilistic and may contain inaccuracies, hallucinations, delayed processing, or unforeseen errors.
- No Guarantee of Accuracy or Commercial Success: Sevorse makes no representation, warranty, or guarantee that any content generated, campaign proposed, analytics measured, or plan constructed by Butler is error-free, legally compliant, commercially profitable, or suitable for your specific business goals.
- Autonomous Operational Risk: When you authorize Butler to execute actions (e.g., publishing content, sending communications, or calling external APIs), you acknowledge that autonomous systems operate based on instructions provided and environmental variables. You assume all operational and financial risks associated with such execution.
Human-in-the-Loop Oversight & User Responsibility
Butler is architected with human-in-the-loop review mechanisms, enabling users to approve, modify, reject, or schedule execution proposals prior to publication or distribution.
You specifically covenant, represent, and warrant that:
- You will review, verify, and validate all AI-generated content, legal claims, factual statements, and scheduled publications prior to public release.
- You will not instruct Butler to generate, publish, or transmit any defamatory, libelous, obscene, fraudulent, infringing, deceptive, harmful, or unlawful material.
- You are solely responsible for ensuring that all marketing, promotional, and messaging activities comply with applicable advertising laws, anti-spam regulations (e.g., CAN-SPAM, Indian Consumer Protection Act), and platform guidelines.
Third-Party Platforms & Messaging Compliance (WhatsApp, TRAI, Spam)
Butler interacts with and executes tasks through third-party platforms, APIs, and networks (including but not limited to WhatsApp, Meta, LinkedIn, X/Twitter, Google, and enterprise LLM providers).
You expressly acknowledge and warrant that:
- Mandatory Recipient Opt-In: If you connect Butler to WhatsApp Business API or any messaging channel, you represent and warrant that you have obtained prior, verifiable, affirmative consent from every recipient in full compliance with TRAI Telecom Commercial Communications Customer Preference Regulations (India), TCPA (US), CAN-SPAM, and WhatsApp Business Messaging Policies.
- No Endorsement: Sevorse and Butler are independent software solutions and are not sponsored, endorsed, affiliated with, or partnered with Meta Platforms, WhatsApp LLC, X Corp, LinkedIn Corporation, or Google LLC.
- Zero Liability for Account Sanctions: In no event shall Sevorse or its founders be held liable if a third-party platform suspends, restricts, flags, shadowbans, or permanently terminates your account, phone number, API key, or business page as a consequence of automated actions, rate limiting, messaging frequency, or content published through Butler.
- Third-Party Outages: Sevorse is not responsible for outages, rate limit throttles, API deprecation, or policy changes enacted by third-party platforms that disrupt Butler's capabilities.
User Data Ownership, License Grant & Sensitive Data Prohibition
You Own Your Data: You retain complete ownership of all business context, brand assets, customer data, prompts, and instructions you provide to Butler ("User Content"). Sevorse claims no intellectual property ownership over your proprietary commercial inputs.
Limited Operational License: You grant Sevorse a worldwide, royalty-free, non-exclusive license to host, process, cache, store, and transmit User Content strictly as necessary to operate the context memory engine, execute capabilities, and maintain your account.
User Account Security & Credential Liability
You are solely responsible for maintaining the confidentiality and security of your account credentials, API keys, OAuth tokens, and webhook secrets. You agree to notify Sevorse immediately of any unauthorized access or security breach.
All actions, API executions, campaign triggers, and data processing initiated under your credentials shall be deemed to have been authorized by you, and you bear sole legal and financial responsibility for all such activities.
Fees, Subscriptions & Refund Terms
Pricing: Access to Butler modules may be offered under free tier limits, early access trials, or paid recurring subscriptions as displayed on our pricing schedule.
Billing & Renewal: Paid subscriptions are billed in advance on a recurring monthly or annual cycle and automatically renew unless canceled prior to the renewal date. All fees are exclusive of applicable taxes (including GST), which shall be added to your invoice.
Refund Policy: Due to the computational and API infrastructure costs incurred in running generative AI execution pipelines, all payments made to Sevorse are strictly non-refundable, except as expressly required by mandatory applicable law.
Disclaimer of Warranties ("As-Is" / "As-Available")
Limitation of Liability & Founder Immunity
This comprehensive liability exclusion includes, without limitation, damages for:
- Loss of business profits, commercial revenue, contracts, customers, or anticipated savings;
- Loss of goodwill, business reputation, or brand standing;
- Loss, corruption, or compromise of business data, customer records, or context memory;
- Suspension, de-indexing, throttling, or banning of social media, messaging, or advertising accounts;
- Work stoppages, computer failure, or malfunction;
- Any errors, mistakes, or inaccuracies in AI-generated output or autonomous execution;
- Unauthorized access, interception, or security breaches of servers or data.
Indemnification
You agree to defend, indemnify, and hold completely harmless Sevorse, Butler, and each of their respective founders, directors, officers, employees, investors, licensors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, fines, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:
- Your use of, misuse of, or inability to use Butler;
- Any content, message, schedule, or media created, scheduled, or published through Butler on your behalf;
- Your breach of any provision, representation, or warranty set forth in these Terms;
- Your violation of any third-party right, including without limitation any copyright, trademark, trade secret, patent, privacy, publicity, or proprietary right;
- Any violation of applicable laws, regulations, or third-party platform rules (including WhatsApp Business Terms, Meta Developer Policies, or spam regulations) caused by your actions or campaigns;
- Any claim or dispute between you and any of your customers, clients, followers, or recipients of communications orchestrated by Butler.
Intellectual Property Rights
Sevorse Intellectual Property: The Butler brand, logos, user interfaces, proprietary context engine, pipeline architectures, modular orchestration algorithms, website design, and underlying software code are and remain the exclusive intellectual property of Sevorse. You receive only a limited, non-exclusive, revocable, non-transferable license to access the Service in accordance with these Terms.
Governing Law, Dispute Resolution & Class Action Waiver
Governing Law: These Terms and any dispute arising out of or related to Butler shall be governed by and construed in accordance with the substantive laws of India, without regard to conflict of law principles.
Exclusive Jurisdiction: You irrevocably agree that the competent courts situated in Bengaluru (Bangalore), Karnataka, India shall have exclusive jurisdiction to settle any dispute, controversy, or claim arising out of or in connection with these Terms or the Service.
Class Action Waiver: YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR SEVORSE WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.
